1) Acceptance of Terms
By accessing or using www.elitewoundexperts.com (the “Site”), you agree to these Terms of Use (the “Terms”). If you do not agree, do not use the Site.
- Affirmative acceptance: If you create an account, submit a form, or otherwise interact with Site features that present terms or checkboxes, you are affirmatively agreeing to these Terms and any policies incorporated by reference.
- We may revise these Terms at any time by posting an updated version with the Effective date above. Your continued use after changes constitutes acceptance.
2) Informational Only; Not Medical Advice; No Emergencies
Content on the Site is provided for general educational and informational purposes only and is not medical advice, diagnosis, or treatment. Do not rely on Site content for personal medical decisions—always consult a qualified clinician who can consider your medical history and current condition.

3) Privacy & HIPAA
Your use of the Site is also subject to our Privacy Notice. Collection and use of PHI in connection with care is governed by our HIPAA Notice of Privacy Practices (NPP). If there is a conflict, the NPP controls for PHI.
4) Permitted & Prohibited Uses
We grant you a limited, revocable, non‑exclusive license to access and use the Site for lawful, personal, non‑commercial purposes consistent with these Terms. You agree not to:
- Scrape, harvest, or use bots/spiders without our prior written consent;
- Copy, modify, reverse‑engineer, or create derivative works from the Site or its software;
- Upload malware or otherwise interfere with the Site’s operation or security;
- Misrepresent your identity or affiliation;
- Use the Site to transmit unlawful, defamatory, harassing, infringing, obscene, or otherwise objectionable content; or
- Violate applicable laws or third‑party rights.
We may suspend or terminate your access at any time if we believe you violated these Terms or used the Site in a way that could harm us or others.
5) Intellectual Property
All content, features, and functionality on the Site (including text, graphics, logos, icons, images, audio/video, and software) are owned by Elite Wound Experts or our licensors and are protected by intellectual property laws. Except for the limited license in Section 4, no rights are granted. Do not use our trademarks, names, or logos without our prior written permission.
6) User Content & Feedback
If you submit comments, suggestions, reviews, or other content (“User Content”), you grant us a nonexclusive, worldwide, royalty‑free, perpetual, irrevocable, sublicensable license to use, host, reproduce, modify, and create derivative works from your User Content for our business purposes, and to use your name as reasonably necessary to exercise the license. You represent you have all rights needed to grant this license and that your User Content complies with law and these Terms.
7) Third‑Party Links and Services
The Site may link to third‑party websites or services. We do not control or endorse them and are not responsible for their content, policies, or practices.
8) SMS (text) Terms (non‑marketing)
If you provide a mobile number and request texting (e.g., appointment coordination), you consent to receive non‑marketing SMS from us or our vendor (e.g., RingCentral). Message/data rates may apply. Text STOP to opt out; HELP for help. Texting is not for emergencies and may not be monitored 24/7.
9) Warranty Disclaimer
THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF ACCURACY, NON‑INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR‑FREE, OR THAT DEFECTS WILL BE CORRECTED.
10) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELITE WOUND EXPERTS AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE.
IN NO EVENT WILL OUR TOTAL LIABILITY RELATING TO THE SITE EXCEED THE GREATER OF $100 OR THE AMOUNTS (IF ANY) YOU PAID TO US FOR SITE ACCESS IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11) Indemnification
You agree to defend, indemnify, and hold harmless Elite Wound Experts and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your use of the Site;
- your violation of these Terms; or
- your violation of any law or third‑party right.
12) Governing Law & Venue
These Terms are governed by the laws of the State of Michigan, without regard to conflict‑of‑law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Michigan for any dispute arising from these Terms or the Site.
13) Changes; Severability; Entire Agreement
We may modify these Terms at any time by posting updates with a new Effective date. If any provision is found unenforceable, the remaining provisions remain in effect. These Terms, plus policies referenced herein (e.g., Privacy Notice), are the entire agreement between you and us regarding the Site.
